All chemicals, materials, and products offered for sale are intended strictly for laboratory research and development purposes only, unless explicitly stated otherwise in writing. They are not intended for human or animal consumption, ingestion, application, or use in any form of medical, diagnostic, therapeutic, or recreational activity. Under no circumstances are these products to be used in the manufacture of food, drugs, cosmetics, medical devices, or any product intended for use by or exposure to humans or animals.

You must be at least twenty-one (21) years of age to purchase products from this website. By placing an order, you represent and warrant that you meet this age requirement and that you are legally permitted to purchase, possess, and use the materials in your jurisdiction. The listing of any product does not constitute a license, recommendation, or authorization to use such product in violation of any patent, law, regulation, or third-party right.

All products are sold with the understanding that they will be handled, stored, and used solely by qualified, trained professionals familiar with proper laboratory procedures and safety protocols. By purchasing, the buyer represents that they possess the necessary knowledge, training, facilities, and equipment to safely handle hazardous materials and to comply with all applicable laws and regulations.

Assumption of Risk and Buyer Responsibilities

The buyer acknowledges that many of the products offered may be hazardous and involve inherent risks, including but not limited to toxicity, flammability, reactivity, and environmental hazards. By purchasing, the buyer expressly assumes all risks associated with the handling, storage, transportation, disposal, and use of such materials.

The buyer represents and warrants that, based on their own independent investigation and expertise, they are fully informed regarding: (i) all known and potential health and safety hazards associated with the products; (ii) appropriate industrial hygiene controls and protective measures; (iii) proper labeling, storage, handling, and disposal procedures; and (iv) all applicable local, state, and federal laws, rules, and regulations governing the use, possession, and distribution of such materials.

The buyer further agrees to conduct any necessary testing, analysis, and validation prior to any use of the products and to ensure that such use complies with all applicable legal and safety standards.

We reserve the right, in our sole discretion, to refuse service, limit quantities, cancel orders, or decline to sell products to any individual or entity for any reason, including but not limited to concerns regarding qualification, intended use, or regulatory compliance.

Limitation of Liability / Indemnification

To the fullest extent permitted by law, Everychem.com and its owners, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to the purchase, use, misuse, or inability to use any products sold, regardless of the legal theory asserted, including contract, negligence, strict liability, or otherwise.

As a material condition of sale, the buyer agrees to indemnify, defend, and hold harmless Everychem.com from and against any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to the buyer’s handling, storage, resale, repackaging, labeling, or use of any product, whether used alone or in combination with any other substance, regardless of origin.

Product Use Restrictions

Supplier products are intended solely for research purposes. Prohibited uses include, but are not limited to: in vitro or in vivo diagnostic use, incorporation into food or beverages, use in drugs or pharmaceuticals, inclusion in medical devices or cosmetics, or any commercial or consumer application involving human or animal exposure.

The buyer acknowledges that products have not been tested by the supplier for safety or efficacy in any of the above applications and assumes full responsibility for any determination of suitability for a particular use.

Regulatory Compliance

The buyer agrees to comply with all applicable laws and regulations, including but not limited to those enforced by the U.S. Food and Drug Administration, Environmental Protection Agency, Occupational Safety and Health Administration, and any comparable state or local agencies. The buyer further acknowledges that certain products may not be listed on the Toxic Substances Control Act (TSCA) inventory and assumes full responsibility for ensuring compliance with TSCA requirements where applicable.

The buyer warrants that any materials produced using products purchased from the supplier will not be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, and will not be introduced into interstate commerce in violation of applicable law, including but not limited to Sections 404, 505, or 512 of the Act.

Handling, Resale, and Distribution

The buyer assumes full responsibility for verifying hazards, conducting further research as necessary, and providing adequate warnings to employees, contractors, customers, carriers, and any third parties who may come into contact with the products.

Products are not intended for resale. If the buyer chooses to repackage, relabel, distribute, or incorporate products into other materials, the buyer assumes all responsibility for ensuring accuracy of labeling, compliance with all laws, and verification of product specifications.

The buyer agrees to follow all instructions provided by the supplier and to refrain from any misuse, diversion, or unauthorized application of the products.

Additional Terms

All products and services are offered strictly for legitimate laboratory and research activities. No product sold is intended for recreational use or human consumption under any circumstances. All buyers are expected to act as qualified professionals exercising sound scientific judgment.

The buyer agrees not to publish, post, or otherwise disseminate any false, misleading, or defamatory statements regarding the supplier or its products. Nothing in this provision is intended to restrict lawful, truthful reviews or opinions; however, any knowingly false statements that cause harm may result in legal action.

In the event of any dispute arising out of or relating to the purchase or use of products, the buyer agrees that such dispute shall be governed by the applicable laws of the supplier’s jurisdiction, without regard to conflict of law principles. The buyer further agrees that any legal action shall be brought in a court of competent jurisdiction designated by the supplier.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by the supplier to enforce any provision shall not be deemed a waiver of that provision or any other rights.

By placing an order, the buyer acknowledges that they have read, understood, and agreed to all terms and conditions set forth above, and accepts full responsibility for compliance with all applicable laws and safe handling practices.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to the purchase, use, or performance of products sold through this website, including any alleged breach of these Terms and Conditions, shall be resolved exclusively through final and binding arbitration, rather than in court.

Arbitration shall be administered by a neutral arbitration provider mutually agreed upon by the parties, and conducted in accordance with its applicable rules. The arbitration shall take place in the state of Florida, unless otherwise agreed by both parties.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.

The parties agree that:

  • Arbitration shall be conducted on an individual basis only, and not as a class, consolidated, or representative action.
  • The arbitrator may award any relief available in a court of law, including damages and injunctive relief.
  • Each party shall bear its own legal fees and costs, unless otherwise required by law or determined by the arbitrator.

This arbitration agreement shall be governed by the Federal Arbitration Act and applicable state law.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court’s jurisdiction.
